Access and usage of the Ayetu website, mobile applications, and related services (collectively referred to as "Products") are governed by these terms.
Agreement:
By accessing or using our Products, or by uploading any content, you confirm that you've read, understood, and agreed to these Terms. We, at GoodBlock Holdings LLC (also referred to as "we", "us", or "our"), reserve the right to amend these terms or modify, discontinue, or terminate any Products without prior notice.

Definitions Related to Content
Content: Denotes any form of information or media, including text, graphics, images, music, software, audio, video, and other related materials.
Ayetu Content: All content delivered by GoodBlock Holdings LLC via its platforms, including content from third parties, but not encompassing content contributed by members.
Member: An individual who has completed our registration process, further elaborated in the "Account Registration" section.
Member Content: All forms of content uploaded or shared by a member on the Ayetu platforms.
Site Content: A collective term for both Member Content and Ayetu Content.
Eligibility for Use
To access or use the Site, Applications, or Services, users must be aged 13 or above. Individuals below this age are strictly prohibited from using these platforms. By engaging with the Site, Applications, or Services, you confirm that you meet this age requirement.
If you reside in a country under U.S. embargo or are listed on the U.S. Treasury Department's Specially Designated Nationals list, you are prohibited from using Ayetu.
Furthermore, Ayetu is not available to individuals with convictions for sexual offenses.
Account Creation & Management
To utilize specific features and post content on the Site or Applications, you need to create an account ("Account"). You can register for an Account with Ayetu using third-party social networking platforms, such as Facebook and Twitter. By registering through these platforms, you grant Ayetu permission to access certain details from your social networking account. Always ensure you're complying with your chosen platform's terms when using our Services in conjunction. If needed, you can disconnect the link between your Ayetu Account and your social networking account at any time.
For security reasons:
Don't share your password.
Don't allow others to access your Account.
Don't transfer your Account without our prior written consent.We may suspend or terminate your Account if the provided information is inaccurate, outdated, or incomplete.
Privacy Considerations
Your privacy is paramount to us. For detailed information on how GoodBlock Holdings LLC collects and uses your personal data, please refer to our Privacy Policy.
Intellectual Property Rights
The Site, Applications, Services, and their respective contents are safeguarded by the copyright, trademark, and other intellectual property laws of the U.S. and other countries. GoodBlock Holdings LLC holds all rights, titles, and interests pertaining to the Site, Applications, Services, and their content, as per relevant laws. Ensure you do not modify, hide, or erase any copyright, trademark, or other proprietary notations found within or accompanying these resources.
App Usage License
Upon choosing to use an Application and adhering to these Terms, GoodBlock Holdings LLC offers you a restricted, non-exclusive, non-transferable, and revocable license. This license allows you to install, access, and operate the Application solely on your owned or controlled mobile device for personal, non-commercial use. Any rights not explicitly granted to you within these Terms remain with GoodBlock Holdings LLC.
Licensing for Ayetu and Member Content
With adherence to these Terms, GoodBlock Holdings LLC provides you a restricted, non-exclusive, and non-transferable license for the following:To access, view, download, and print Ayetu Content exclusively for personal, non-commercial use.To access and view Member Content strictly for personal and internal business objectives.You must refrain from using, copying, altering, or deriving new content from the Site, Applications, Services, or their content in ways other than those explicitly stated in these Terms. GoodBlock Holdings LLC or its licensors retain all intellectual property rights not expressly mentioned in these Terms, and no implied licenses or rights are provided to you.
Member Content Guidelines
Members have the ability to share, upload, and disseminate their content. While GoodBlock Holdings LLC doesn't assert any ownership over Member Content, it's essential to note the following:
By sharing Member Content on our platform, you grant GoodBlock Holdings LLC an unrestricted, global, perpetual, and non-exclusive license. This license permits us to display, adapt, modify, distribute, and use the content through our platforms. However, you retain any rights you have in your Member Content.
It's your responsibility to ensure the legitimacy of the content you share. You must own the content or have the required permissions to share it. It's also essential that your content doesn't violate any laws, third-party rights, or intellectual property regulations.
Content shared by members should adhere to our guidelines. This means avoiding content that's unlawful, harmful, infringing on rights, or inappropriate (like spam or misleading information). Although GoodBlock Holdings LLC has the authority to edit or remove content that doesn't comply, we don't consistently monitor every post.
Usage Guidelines
As a user, you commit to refraining from the following activities:
Sharing any Content that:
Violates intellectual property, including patents, copyrights, trademarks, trade secrets, or other rights.
Breaks any law, promotes illegal activities, or could lead to legal actions.
Is deceptive, false, or misleading.
Is offensive, defamatory, obscene, or contains explicit content.
Encourages discrimination, racism, hatred, or harm to others.
Is violent, threatening, or promotes harm to others.
Endorses harmful or illicit substances.
Using any part of the Site, software, or intellectual property without explicit written consent from GoodBlock Holdings LLC.
Tampering with our systems, bypassing security measures, or attempting unauthorized access.
Abusing automated tools for unauthorized activities like scraping, or imposing an unreasonable load on our infrastructure.
Utilizing the platform to support or launch competing services.
Sending unauthorized promotional content, junk emails, or spam.
Misusing GoodBlock Holdings LLC or Ayetu's proprietary information, including hidden metadata, without written consent.
Misrepresenting yourself, impersonating others, or using the platform if you're a convicted sexual offender.
Encouraging others to indulge in these prohibited actions.
GoodBlock Holdings LLC retains the authority to take appropriate measures, including removing content, if any user violates these terms or harms the platform in any way.
Third-Party Links
The Ayetu platform may include links to external websites, services, promotions, or events that aren't operated by GoodBlock Holdings LLC. While we provide these links for your convenience, we don't endorse, monitor, or bear any responsibility for their content, products, or services. Venturing into these third-party sites is at your discretion and responsibility. Be aware that our terms and Privacy Policy don't cover your interactions on these external platforms.
Any transactions or agreements you enter into with third-party advertisers on our platform are exclusively between you and them. GoodBlock Holdings LLC isn't liable for any potential loss or harm resulting from such external interactions.
Updates and Termination
GoodBlock Holdings LLC reserves the right to modify, halt, or set usage boundaries for the Ayetu platform and its associated services without prior notification. Additionally, we may suspend or permanently revoke your access to the platform at our discretion, especially if you breach any terms of this Agreement.
Even if the Agreement or your access to the platform concludes, certain clauses that inherently extend beyond termination (like ownership rights, warranty waivers, indemnification, and liability limitations) will remain in effect.
Limitations & Responsibilities
GoodBlock Holdings LLC provides the Ayetu platform, its applications, services, and content on an "AS IS" basis, without any explicit or implicit guarantees. Specifically, we do not assure merchantability, suitability for specific intents, uninterrupted service, or freedom from infringement. The platform might not always be secure, uninterrupted, or free of errors. Furthermore, the quality, accuracy, or reliability of any product, service, or content obtained via the platform is not warranted by GoodBlock Holdings LLC.
Your interactions and communications on the platform are solely your responsibility. Note that GoodBlock Holdings LLC doesn't screen users, verify their claims, or ensure compatibility between users. As a user, you are accountable for any content you post or share. While we facilitate the distribution and publication of user content, we are not responsible for its accuracy or nature. Understand that some content may be inappropriate, inaccurate, or not fit your needs, and we aren't liable for any consequences or damages arising from such content.
Indemnification
By using our platform, you commit to shielding GoodBlock Holdings LLC, including its leaders, staff, representatives, and associates, from any potential claims, liabilities, damages, or costs. Specifically, you agree to cover us against any issues related to:
Your interaction with or use of the Site, its applications, services, or content.
Content you contribute as a member.
Any breach of these terms on your part.
Liability Limitations
While accessing and using our platform, you agree to take full responsibility for any risks. You understand that under the maximum allowance of the law, GoodBlock Holdings LLC and any affiliated parties involved in the development, production, or delivery of our platform won't be accountable for:
Any unexpected, consequential, exemplary, or special damages, such as lost revenue, lost data, or interruptions in service.
Any personal or emotional damages or harm resulting from using the platform, interacting with other users, or communicating with others due to platform use.
Any damages, even if GoodBlock Holdings LLC has been made aware of possible outcomes or if other remedies fail.
GoodBlock Holdings LLC’s maximum liability, in any circumstance, will not exceed $100. This limitation is crucial to our agreement with you. Please note, some regions may not permit certain liability restrictions, so our limitation may not apply based on your location.
Our platform originates from the United States. While we haven't designed it for global use, if you choose to use it outside of the U.S., you're doing so at your own risk. You must ensure you follow all local and United States laws. You confirm that you aren't from a country the U.S. has embargoed or labeled as "supporting terrorism", and you're not on any U.S. government blocklist. Remember, unless stated otherwise, our platform mainly targets users in the U.S..
Notice of Proprietary Rights
All trademarks, service marks, logos, trade names, and any other proprietary designations of GoodBlock Holdings LLC used here are trademarks or registered trademarks of GoodBlock Holdings LLC. All other trademarks, service marks, logos, trade names, and any other proprietary designations belong to their respective owners.
Governing Law and Jurisdiction
These Terms and any related actions will be governed by the laws of the State of Washington without considering its conflict of laws provisions.
Dispute Resolution through Arbitration
Any disputes arising from or related to this Agreement will be conclusively settled by arbitration in King County, Bellevue, in English, following the GoodBlock Holdings LLC of GoodBlock Holdings LLC ("JAMS") currently in place. The arbitration will be managed by one commercial arbitrator with substantial knowledge in resolving intellectual property and commercial contract disputes, selected from the JAMS arbitrators list according to JAMS' rules. Any judgment based on the arbitration award can be recorded in a competent court, or such court can be approached for judicial acceptance of any award and for an enforcement order, as necessary. Arbitration under this Agreement is individual: class arbitrations and class actions are not permitted. YOU ACKNOWLEDGE AND CONSENT THAT BY AGREEING TO THESE TERMS, YOU AND GoodBlock Holdings LLC ARE EACH FORGOING THE RIGHT TO A JURY TRIAL OR PARTICIPATION IN A CLASS ACTION. Despite the above, both parties retain the right to bring an action at any time in a suitable jurisdiction court for injunctive or other equitable relief.
Notifications and Communication
We may provide notifications, whether such notifications are required by law or are for marketing or other business-related purposes, to you via email notice, written or hard copy notice, or through posting of such notice on our website, as determined by us in our sole discretion. We reserve the right to determine the form and means of providing notifications to our Users, provided that you may opt out of certain means of notification as described in this Agreement. We are not responsible for any automatic filtering you or your network provider may apply to email notifications we send to the email address you provide us.
Full Agreement
These Terms make up the complete and exclusive understanding and agreement between GoodBlock Holdings LLC and you concerning the Site, Applications, Services, Site Content, and Member Content. These Terms replace any prior oral or written understandings or agreements between GoodBlock Holdings LLC and you about the Site, Applications, Services, and Content.
Transfer of Rights and Obligations
You cannot assign or transfer these Terms, by operation of law or otherwise, without GoodBlock Holdings LLC’s prior written agreement. Any of your attempts to assign or transfer these Terms, without such agreement, will be null and void. GoodBlock Holdings LLC can assign or transfer these Terms at its sole discretion, without any limitations. Keeping this in mind, these Terms will benefit and bind the parties, their successors, and allowed assigns.
Official Notices
Any notices or other communications allowed or required under these Terms, including those about modifications to these Terms, will be written and given by GoodBlock Holdings LLC:
Via email (each time to the address you provide)
By posting on the Site or through the Application. For notices made by email, the date of receipt will be the date the notice is sent.
Miscellaneous Provisions
If GoodBlock Holdings LLC does not enforce a right or provision in these Terms, it will not mean GoodBlock Holdings LLC waives the future right to enforce it. Any waiver of rights will be effective only if written and signed by an authorized GoodBlock Holdings LLC representative. Unless these Terms say otherwise, any action by either party (you or GoodBlock Holdings LLC) will not affect its other rights under these Terms or other rights it might have. If a court finds any provision of these Terms invalid or unenforceable, that provision will be enforced as much as allowed, and the other Terms will remain valid and enforceable.
